Terms of Use for Metrotechs

Thank you for choosing Metrotechs. These Terms of Use (“Terms”) govern your access to and use of the Metrotechs services, including our website, applications, tools, and features (collectively, “Services”), and are entered into between Metrotechs (“we”, “us”, “our”) and you or the entity you represent (“you”, “your”). By using our Services, you agree to these Terms. If you are using the Services on behalf of an organization, you are agreeing to these Terms for that organization and promising that you have the authority to bind that organization to these Terms.

1. Use of Services

1.1 Service Provision

Metrotechs grants you a non-exclusive, non-transferable, limited right to access and use the Services solely for your internal business purposes, subject to the terms and conditions set forth in these Terms.

1.2 Account Registration and Use

To access certain features of the Services, you must register an account. By registering an account, you agree to provide accurate, current, and complete account information, and to maintain and promptly update your account information as necessary.

1.3 User Conduct

You agree not to use the Services to:

  • Conduct any unlawful or fraudulent activities.
  • Infringe upon the rights of others, including intellectual property rights.
  • Upload or transmit viruses, malicious code, or harmful data.
  • Interfere with or disrupt the Services or servers or networks connected to the Services.

2. Intellectual Property

2.1 Ownership and Licenses

All rights, title, and interest in the Services and any content provided through the Services, including all intellectual property rights, are and will remain the exclusive property of Metrotechs and its licensors.

2.2 User Content

You retain ownership of any intellectual property rights that you hold in the content you upload or submit to the Services. By uploading or submitting content, you grant Metrotechs a worldwide, royalty-free, non-exclusive license to use, host, store, reproduce, modify, communicate, and distribute such content solely for the purpose of operating, promoting, and improving our Services.

3. Termination

Metrotechs may terminate your access to all or any part of the Services at any time, with or without cause, with or without notice, effective immediately. You may terminate your use of the Services at any time.

4. Warranties and Disclaimers

The Services are provided “as is”. Metrotechs and its suppliers and licensors hereby disclaim all warranties of any kind, express or implied, including, without limitation, the warranties of merchantability, fitness for a particular purpose, and non-infringement. Neither Metrotechs nor its suppliers and licensors make any warranty that the Services will be error-free or that access thereto will be continuous or uninterrupted.

5. Limitation of Liability

In no event will Metrotechs, or its suppliers or licensors, be liable with respect to any subject matter of these Terms under any contract, negligence, strict liability, or other legal or equitable theory for: (i) any special, incidental, or consequential damages; (ii) the cost of procurement for substitute products or services; (iii) for interruption of use or loss or corruption of data.

6. Modifications

Metrotechs reserves the right, at its sole discretion, to modify or replace any part of these Terms at any time. It is your responsibility to check these Terms periodically for changes. Your continued use of or access to the Services following the posting of any changes to these Terms constitutes acceptance of those changes.

7. Governing Law

These Terms will be governed by and construed in accordance with the laws of the jurisdiction of incorporation of Metrotechs, without regard to its conflict of law provisions.

8. Dispute Resolution

Any disputes arising from or relating to these Terms or the Services will be finally settled under the Rules of Arbitration of the International Chamber of Commerce by one or more arbitrators appointed in accordance with the said Rules.

9. Miscellaneous

These Terms constitute the entire agreement between Metrotechs and you concerning the subject matter hereof, and they may only be modified by a written amendment signed by an authorized executive of Metrotechs or by the posting by Metrotechs of a revised version.
